OutlookIQ – AI-Powered Insights

Important Information About This Feature

1. What is OutlookIQ?

OutlookIQ is an AI-powered feature within BoardOutlook that uses artificial intelligence technology to generate insights, summaries, suggested actions and analysis based on data within your BoardOutlook account, including User Data and Benchmark, Aggregated and Algorithmically Created Data (each as defined in the BoardOutlook Terms of Service). OutlookIQ is provided as part of BoardOutlook and its use is subject to the Terms of Service, the applicable Customer Agreement, and these supplementary terms.

2. AI-Generated Content – Not Professional Advice

OutlookIQ outputs are generated by artificial intelligence and are informational in nature only. They are not, and must not be treated as, professional, legal, financial, governance, regulatory, or any other form of expert advice. Like all outputs within BoardOutlook, OutlookIQ content shall not be regarded as actionable advice and the Company does not assume a duty of care in relation to decisions or conclusions made by a Customer or User based on OutlookIQ outputs.

For clarity, OutlookIQ outputs constitute a form of Report for the purposes of clause 2.4 of the Terms of Service and clauses 18 and 19 of the User Acceptance Terms, and are subject to all non-reliance, limitation of liability, and disclaimer provisions that apply to Reports under the Agreement.

3. Accuracy and Limitations

The Customer and each User acknowledge and agree that:

  1. AI-generated outputs may contain inaccuracies, errors, omissions, or content that is incomplete, outdated, or misleading. AI technology, by its nature, may produce results commonly referred to as “hallucinations” – outputs that appear plausible but are factually incorrect;
  2. The Company makes no representation or warranty, express or implied, as to the accuracy, completeness, reliability, suitability, or timeliness of any OutlookIQ output;
  3. OutlookIQ outputs are intended to supplement, and not replace, human judgment, independent analysis, due diligence, and professional advice;
  4. The Customer and User are solely responsible for evaluating the appropriateness and accuracy of any OutlookIQ output before acting upon it; and
  5. The Company makes no representation that the Customer or any User will achieve particular results by relying on OutlookIQ outputs.

4. No Duty of Care or Advisory Relationship

Nothing in OutlookIQ, including any insight, recommendation, summary, or suggested action, creates or implies an advisory relationship, fiduciary duty, duty of care, or professional engagement between the Company and the Customer or any User. The provision of OutlookIQ does not constitute the provision of consulting, governance advisory, legal, financial, or any other professional service.

5. How OutlookIQ Processes Data

OutlookIQ uses AI models provided through secure, enterprise-grade cloud infrastructure in accordance with the Company’s ISO 27001 certified information security management system. The Customer and User acknowledge that:

  1. OutlookIQ may process User Data and other data within your BoardOutlook account using third-party AI models. These models are procured by the Company through enterprise agreements and are subject to the Company’s data processing and security standards;
  2. User Data processed by OutlookIQ is not used to train any AI model. Training of AI models, where undertaken, uses only anonymised and aggregated data;
  3. The processing of personal data through OutlookIQ is governed by the Privacy Policy and, where applicable, the Data Processing Agreement; and
  4. The Company’s sub-processor list (available at boardoutlook.com/legals/sub-processors) identifies the third-party service providers involved in the delivery of BoardOutlook, including AI-related services.

6. Limitation of Liability

Without limiting the generality of clause 6.11 of the Terms of Service (and the Country Specific Provisions where applicable), the Company shall not be liable for any loss, damage, cost, or expense arising from or in connection with:

  1. any decision or action taken, or not taken, by the Customer, a User, or any third party in reliance on an OutlookIQ output;
  2. any inaccuracy, error, omission, or incompleteness in any OutlookIQ output; or
  3. any unavailability or interruption of the OutlookIQ feature, including due to the unavailability of third-party AI model providers.

7. Transparency and Human Oversight

The Company is committed to the responsible use of AI. OutlookIQ outputs will be clearly identified as AI-generated within the BoardOutlook interface. The Customer is responsible for ensuring that appropriate human oversight is applied to any OutlookIQ output before it is relied upon or shared with third parties, including Board Members.

8. Changes to OutlookIQ

The Company may modify, update, suspend, or discontinue OutlookIQ (or any part of it) at any time in accordance with clause 6.3 of the Terms of Service. The Company will use reasonable endeavours to provide notice of material changes to OutlookIQ functionality.

9. Acceptance

By accessing or using OutlookIQ, the Customer and each User acknowledge that they have read, understood, and agree to be bound by this disclaimer and the terms set out herein, in addition to the Terms of Service and User Acceptance Terms. If you do not agree, you should not access or use OutlookIQ.
