1. INTRODUCTION

Welcome to https://boardoutlook.com/.

In offering our services, BoardOutlook Group Companies, as set out in Schedule 1, (“we”, “us”, “our”) are committed to protecting and respecting your privacy. Through our product offerings (generally referred through this document as “BoardOutlook”), Customers and their Users have the ability to provide feedback about the performance of their board, individual directors or management. This privacy policy (or “policy”) explains when and why we collect personal information about individuals, how this personal information is used, the conditions under which it may be disclosed to others, and how it is kept secure.

Please note, the remainder of this privacy policy does not apply to processing of personal information on behalf of our Customers using our product offerings (which includes Board evaluation, Skills matrix, and Director 360 (with the full list of products available on our Site)), for which we are a ‘data processor’ or ‘service provider’. You can find out more about how our Customers collect and use your personal information in respect of these products by contacting them directly. We only hold and use such personal information as instructed by the Customer. We put in place reasonable and appropriate controls in connection with BoardOutlook to ensure that personal information input into or collected via our products by Customers remains secure against accidental or unlawful destruction, loss, alteration, or unauthorised access, however we are not responsible for how our Customers use our products, or the privacy or data security practices of our Customers, which may differ from those explained in this policy. If you believe that we hold such personal information in our systems and would like to access or correct that personal information, you should contact the Customer that collected it in the first instance.

This policy may change from time to time so please check this page periodically to ensure that you’re happy with any changes.

For information on the relevant company that is the ‘controller’ of your personal information for your jurisdiction, please see Schedule 1. A ‘controller’ is an organisation that decides why and how your personal information is processed.

2. DEFINITIONS

a. BoardOutlook: the software used to provide our Services to the Customer and User.

b. Company, we, us, our: BoardOutlook Pty Ltd Australian Business Number 68 631 973 049, BoardOutlook International Pty Ltd Australian Business Number 57 659 908 755, BoardOutlook International UK Registration Number BR025264, BoardOutlook Limited Company Number 15084847, or any other related body corporate of BoardOutlook Pty Ltd as applicable from time to time.

c. Customer: in relation to you, the person or entity that has contracted with the Company to allow you to use our Services. The Customer will generally be your employer, or an identified subgroup (i.e., division, department, etc.) within your employer.

d. Privacy policy or policy: this privacy policy document which may be updated by us from time to time.

e. Services: all products and services offered by the Company.

f. Sites: collectively, Boardoutlook.com (and its subdomains) as well as any other websites that the company operates and contains the link to this privacy policy.

g. Suppliers: third party service providers, agents and subcontractors.

h. User: employees, directors or other board stakeholders (including third-party administrators with account management privileges) who have log in credentials to an individual account on BoardOutlook.

i. Visitor: any person who visits our Sites.

j. You or your: a User, Customer, or Visitor, as applicable.

3. A NOTE ABOUT CHILDREN

We consider the protection of privacy of children very important. Unless permitted by applicable law, you must not permit any child under the age of 18 to access our Services. We do not knowingly collect personal data from children under the age of 18 without obtaining parental consent. If we learn that personal information has been collected on the Service from persons under 18 years of age without verifiable parental consent, then we will take the appropriate steps to delete such information. If you believe that we may have any personal information of a child under the age of 18, please contact us at Privacy@BoardOutlook.com.

4. INFORMATION WE COLLECT ABOUT YOU

When you interact with us online (in particular when you use our board review and evaluation digital platform) or offline, we collect and use information about you in the course of providing you with our Services and with customer support. Where we need to collect personal information we’re legally required to do so, or to perform a contract we have with you (or to take pre-contract steps you have requested), and you do not provide us with your personal information, we may be unable to provide our Services to you. This may also lead to us having to cancel your Services or not provide your Services in full.

a. Information we generally collect:

i. Contact Information: including postal address, business address, e-mail address and telephone number(s), and login credentials. We collect this in a number of ways, including when you register for an account with us and/or contact us about our Services online or offline.

ii. Contacting us: if you contact us by submitting a form on our Site, or any correspondence via email or phone, we will also collect any information that you provide to us voluntarily, such as your IP address and operating system version and location.

iii. Interacting with us on social media: we may collect personal information about you when you interact with us using social media.

iv. Log data: we keep log files that record data each time a device accesses our servers. The log files contain data about the nature of each access, including the originating IP address. We may combine this automatically collected log information with other information we collect about you. We do this to maintain an audit trail of activity, to improve our Services, to improve our marketing activities, for system analytics, or to monitor or improve functionality.

v. Marketing and related: details of your marketing preferences and any information relevant to your current or past boards that you disclose as part of our sales and marketing interactions.

vi. Account management: details, including those relevant to your current or past boards, that you disclose as part of our support and account management interactions.

vii. Mobile devices: if you connect to the Services using a mobile device with a service provider that uniquely identifies your mobile device, we may receive this identification information to provide the Services to you.

viii. Other Data: we may collect your personal information or data if you submit it to us in other contexts. For example, by giving us a testimonial, attending a customer advisory group or an event we host. We may also collect personal information at other points throughout our Services or within our Site that states personal information is being collected.

ix. Registration details: when you register an account (including where another User creates an account for you), we collect your name, company name, email address, password and other information.

x. Referral data: if as a Visitor, you navigate to our Sites from an external source (such as a link on another website or via an email), we may record information about the source that referred you to us.

xi. Statistical information: including about a User’s or Visitor’s online and offline preferences, habits, movements, trends, decisions, associations, memberships, finances, purchases and other information.

xii. Survey and feedback responses: information you provide if you complete any surveys or questionnaires that we request you complete for research purposes, including but not limited to net promoter score.

xiii. Financial information: which includes bank or credit card details and the card holder’s name; your orders, requests, and transaction information, including information about your purchases, such as prices and product information.

xiv. Any additional information that you choose to tell us.

b. Information we collect about you from other sources:

We may also obtain the following personal information about you from the following sources:

i. From our Customers: (where we are acting as a controller):

ii. Contact details. Marketing agencies: Contact details, information about your affiliation with other organisations, and any other relevant information obtained by a marketing agency acting in compliance with applicable data protection laws.

iii. Public records: Contact details, current and former affiliations with other organisations, location, gender and any other information you may have submitted online or offline.

iv. Recruitment agencies: Contact details data, professional experience, any other information disclosed by the user to the recruitment agency as part of their recruitment services.

v. Cookies and tracking technologies: Please refer to our Cookies Policy.

5. HOW WE USE YOUR PERSONAL INFORMATION

We will only use your personal information for the purposes for which we collected it, unless we reasonably consider that we need to use it for another reason and that reason is compatible with the original purpose and complies with applicable data protection laws.

Data protection law requires us to have a valid reason to process your personal information. In some jurisdictions, the law refers to each reason as a ‘lawful basis’. The purposes for which we use your personal information and the lawful basis on which we rely to process it for each purpose is as follows:

a. Where there is a LEGITIMATE INTEREST

We may use and process your personal information where it is necessary for us to pursue our legitimate interests as a business, or that of a third party, for the following purposes:

i. Processing necessary for us to promote our business

a. To contact you with marketing information by phone (if you are not registered with the Telephone Preference Service (including the Corporate Telephone Preference Service, where relevant);

b. To contact you with marketing information by email and SMS if you are a corporate Customer and where we have not relied upon consent;

c. In certain jurisdictions, to contact you with marketing information after we obtain contact details via a subscription-based database in order to contact you about individual offers where you are a corporate Customer (provided these databases are compliant with applicable data protection laws);

d. To contact you with marketing information by individually addressed email and SMS (if you are a corporate Customer or where you were presented with an opportunity to opt-out of such contact but did not do so);

e. To tailor communications (including recommendations) to you based on your location, interests, and previous purchases and to personalise our Services, products and content for you; and

f. For analysis and insight conducted to inform our marketing and business strategies, and to enhance your user experience.

ii. Processing necessary for us to operate the administrative and technical aspects of our business efficiently and effectively

a. To maintain the security of our staff, customers, premises, and property;

b. For efficiency, accuracy or other improvements of our databases and systems, for example, by combining systems or consolidating records we hold about you;

c. To use software applications in fulfilling essential administrative, contractual, and legal obligations;

d. To administer the Site and our products, and for internal operations, including troubleshooting, testing, and statistical purposes;

e. For network and information security in order for us to take steps to protect your information against loss or damage, theft or unauthorised access;

f. For the purposes of corporate restructure or reorganisation or sale of our business or assets; and

g. To investigate any complaints made about a User, or if we have reason to suspect that an individual is in breach of any of our terms and conditions, or that an individual is or has been otherwise engaged in any unlawful activity.

iii. Processing necessary for us to respond to changing market conditions and the needs of our Users

a. To analyse, evaluate and improve the Site and/or our products and Services so that your visit and use of the Site and/or products and Services are more useful (we will generally use data amalgamated from many people so that it does not identify you personally);

b. To undertake market analysis and research (including contacting you with User or customer surveys) so that we can better understand your use of the Site and our products; and

c. To anonymize personal information provided from our Customers in order for us to develop our products, perform benchmarking, and to provide anonymous analysis and statistics to our Customers.

 

b. Where you have provided CONSENT

We may use and process your personal information where you have consented for us to do so for the following purpose(s):

● To contact you with marketing communications including by email or by phone, with information about us and our group companies, if you sign up to our newsletter emails via our Site or other medium where available and where we request your consent.

You may withdraw your consent for us to use your information in any of these ways at any time. Please see withdrawing your consent for further details.

 

c. Where necessary to comply with our LEGAL OBLIGATIONS

We will use your personal information to comply with our legal obligations:

i. To respond or assist the public authorities or the police and other criminal investigation bodies where required by law;

ii. To keep a record relating to the exercise of any of your rights relating to our processing of your personal information;

iii. To comply with a request from you in connection with the exercise of your rights (for example where you have asked us not to contact you for marketing purposes, we will keep a record of this on our suppression lists to be able to comply with your request);

iv. To enforce or protect our contractual or other legal rights or to establish, bring or defend legal proceedings (and in relation to any allergy or other health data we process about you, we rely on the corresponding condition for processing under data protection law);

v. To inform you of updates to our terms and conditions and policies;

vi. To anonymise or delete your personal information when it is no longer required for the purposes described in this privacy policy; and

vii. To comply with court orders or other notices where failure to do so would result in us breaking the law.

d. Where necessary for us to carry out PRE-CONTRACT STEPS you have requested or for the performance of our CONTRACT

i. We will use your personal information where this is necessary for us to perform a contract with you or to carry out any pre-contract steps you’ve asked us to so that you can enter into that contract, for the following purposes:

ii. To respond to your request for a demonstration or a proposal for one of our products;

iii. To respond to your customer service requests and enquiries;

iv. To provide you with product updates in compliance with our terms and conditions;

v. To process payments made by you to us;

vi. For contract preparation, invoicing, and banking purposes

vii. To maintain appropriate records to enable us to provide support and account management;

viii. To share your personal data with our suppliers in order for us to fulfil our contractual requirements; and

ix. For other general administration including managing any reports you make, your queries, complaints, or claims, and to send service messages to you.

6. MARKETING

We may collect your preferences to receive marketing information directly from us by phone, email, or SMS in the following ways:

a. If you submit your details on the Site, we will ask you if you would like to opt in to receive marketing information directly from us;

b. If we interact with you in another format and you provide us with your consent to receive more information.

We may contact you about marketing if you are a corporate customer (or “corporate subscriber”) after we receive your information from the following sources:

a. When we receive a referral about you from our existing Customers/directors;

b. When we receive your information from our marketing or consulting partners who introduced us to you from their client base;

c. When we obtain contact details via a subscription-based database in order to contact you about individual offers in certain jurisdictions.

From time to time, we may ask you to refresh your marketing preferences by asking you to confirm that you consent to continue receiving marketing information from us.

You have the right to opt-out of our use of your personal information to provide marketing to you in any of the ways mentioned above at any time. Please see Your rights below for further details on how you can do this.

Please allow up to 10 working days for your email preferences to take effect.

7. DISCLOSURE OF YOUR PERSONAL INFORMATION BY US

We will share your personal information with third parties only in the ways that are described in this privacy policy. To provide you with our Services we will often need to disclose your personal information to our service providers we use to operate our business. Examples of where we use service providers for certain services include: hosting services; project management software; email services; system monitoring services; customer support services; and website analytics. These companies are only authorised to use your personal information as necessary for us to provide our Services to you and/or the Customer.

a. We may disclose your information to our Suppliers for the purposes set out above. Our Suppliers include:

i. Marketing agencies.

ii. Cloud software system providers, including database, email, messaging, presentation, customer relationship and document management providers.

iii. Legal, accountancy, security and other professional advisers and consultants.

iv. Website and data analytics platform providers.

v. Recruitment agencies.

When sending your information to third parties, we only disclose to them any personal information that is necessary for them to provide their service and we have a contract in place that requires them to keep your information secure and not to use it other than in accordance with our specific instructions.

When we share your personal information with any third parties that are controllers of that information, they may disclose or transfer it to other organisations in accordance with their privacy or data protection policies. This does not affect any of your rights as detailed below. In particular, where you have the right and ask us to rectify, erase or restrict the processing of your information, we will take reasonable steps to pass this request on to any such third parties with whom we have shared your personal information.

b. We may disclose your personal information to other third parties as follows:

i. Any third party who is restructuring, selling, acquiring or investing in some or all of our business or assets or otherwise in the event of a merger, re-organisation or similar event; and

ii. If we are under, or consider that we have, a duty to disclose or share your information in order to comply with any legal or regulatory obligation or request, including by the police or any other law enforcement bodies, tribunals, regulators, local or central government or related agencies.

8. WHERE WE STORE YOUR PERSONAL INFORMATION

a. If you are based in Australia

i. We will not disclose your personal information to any entity outside of Australia unless that entity is in a jurisdiction that has a substantially similar and enforceable data protection regime to Australia, or we take reasonable steps to ensure that the entity does not breach the Australian Privacy Principles.

ii. We may utilise third-party service providers to communicate with an individual and to store contact details about an individual. These service providers may be located outside of Australia.

iii. An individual who uses BoardOutlook may be sending information (including personal information) to overseas jurisdictions where our servers may be located from time-to-time. In such circumstances, that information may then be transferred within their resident jurisdiction or back out to other countries outside of the individual’s country of residence, depending on the type of information and how it is stored by us. These countries may not necessarily have data protection laws as comprehensive or protective as those in your country of residence, however our collection, storage and use of personal information will at all times continue to be governed by this privacy policy.

b. If you are based in the UK and the European Economic Area (“EEA”)

i. Your personal information will be stored in our data centre which is located in the Netherlands.

ii. We have an entity in Australia, and we disclose personal information to Suppliers who are based outside of the UK and EEA. As a result, information you provide to us may be transferred to other third countries, including to countries outside the UK and the EEA. These countries may not have equivalent or similar data protection laws to the country in which you are located.

iii. If we transfer your personal information to a ‘third country’ outside of the UK or the EEA in this way, we will take steps to ensure that appropriate security measures are taken with the aim of ensuring that your privacy rights continue to be protected as outlined in this policy. These steps include imposing contractual obligations on the recipient of your personal information that aim to ensure adequate protection or ensuring that the recipients are subscribed to international frameworks that aim to ensure adequate protection.

iv. If you use our Services whilst you are outside the UK or the EEA, your information may be transferred outside the UK or the EEA in order to provide you with those services.

c. If you are based in a location other than Australia, the UK, or the EEA

i. Your personal information will be stored in our data centre which is located in Australia.

ii. We will not disclose your personal information to any entity outside of Australia unless that entity is in a jurisdiction that has a substantially similar and enforceable data protection regime to Australia, or we take reasonable steps to ensure that the entity does not breach the Australian Privacy Principles.

iii. We may utilise third-party service providers to communicate with an individual and to store contact details about an individual. These service providers may be located outside of Australia.

9. HOW LONG WE KEEP YOUR PERSONAL INFORMATION FOR

If we collect your personal information, the length of time we retain it is determined by a number of factors including the purpose for which we use that information and our obligations under other laws. Subject to other applicable laws (e.g., tax requirements), personal information (in an identifiable format) should not be kept longer than is necessary for the purposes for which it was collected and processed.

We may need your personal information to establish, bring or defend legal claims.  For this purpose, we will always retain your personal information for 7 years after the date it is no longer needed by us for any of the purposes listed under section 5.

The only exceptions to this are where:

a. The law requires us to hold your personal information for a longer period, or delete it sooner;

b. You exercise your right to have the information erased (where you have that right and it applies) and we do not need to hold it in connection with any of the reasons permitted or required under the law (see further section 13(e) Erase your personal information or 13(d) Restrict processing of your personal information below); or

c. In limited cases, the law permits us to keep your personal information indefinitely provided we put certain protections in place.

10. SECURITY AND LINKS TO OTHER SITES

a. Security

Unfortunately, the transmission of information via the internet is not completely secure. Although we will do our best to protect your personal information (such as using SSL encryption to store and transfer personal information), we cannot guarantee the security of your information transmitted to our Site and any transmission is at your own risk. Once we have received your personal information, we use reasonable and appropriate controls to ensure that it remains secure against accidental or unlawful destruction, loss, alteration, or unauthorised access.

b. Links to other websites

Our Site may contain links to other websites run by other organisations. This policy does not apply to those other websites‚ so we encourage you to read their privacy statements. We cannot be held responsible for the privacy policies and practices of other websites even if you access them using links that we provide. In addition, if you linked to our Site from a third-party website, we cannot be responsible for the privacy policies and practices of the owners and operators of that third party website and recommend that you check the policy of that third party website.

c. Passwords

You will have the opportunity to choose a password which enables you to access an account, you are responsible for keeping this password confidential. We ask you not to share your password with anyone.

11. COOKIES AND TRACKING TECHNOLOGIES

Where you have provided consent for non-essential cookies, we may automatically collect information about your use of the Site, such as the number and duration of visits to the Site and details of which pages have been visited, which may be identifiable to you as part of our marketing efforts to better understand your needs and interests. In addition, we may use a limited number of critical cookies that are essential for the delivery of our Services (that do not collect any personal data and are not identifiable to you).

We also automatically collect technical information, including anonymous data collected by the hosting server for statistical purposes, the Internet protocol (IP) address used to connect your computer or device to the internet, browser type and version, time zone setting, browser plug-in types and versions, operating system, and platform as well as cookie information (“Technical Information”). Please see our Cookies Policy for further information.

We use any collected technical information and anonymised information to analyse how the Site is functioning and how it is used by users, for insight purposes and to help us maintain and improve the Site on an ongoing basis.

12. AUTOMATED DECISION MAKING

We do not envisage that any decisions that have a legal or significant effect on you will be taken about you using purely automated means, however we will update this privacy policy and inform you if this position changes.

13. YOUR RIGHTS

Users of BoardOutlook can update their personal information from within their account or profile at any time to ensure it is accurate and complete.

The below data subject rights shall only apply to the extent applicable under the data protection laws of the country in which you are located.

In relation to certain rights, we may ask you for information to confirm your identity and, where applicable, to help us to search for your personal information. Except in rare cases, we will respond to you in accordance with any timescales set by the applicable data protection laws of the country in which you are located, which is usually within one month from either (i) the date that we have confirmed your identity or (ii) where we do not need to do this because we already have this information, from the date we received your request.

a. Correcting your information: If you change your name or address/email address, or you discover that any of the other information we hold is inaccurate or out of date, please let us know by contacting us at Privacy@boardoutlook.com.

b. Object to processing of your personal information: Where we rely on our legitimate interests as the lawful basis for processing your personal information for particular purposes (such as certain direct marketing purposes), you may object to us using your personal information for these purposes by emailing or writing to us at Privacy@boardoutlook.com. Except for the purposes for which we are sure we can continue to process your personal information, we will temporarily stop processing your personal information in line with your objection until we have investigated the matter. If we agree that your objection is justified in accordance with your rights under data protection laws, we will permanently stop using your data for those purposes. Otherwise, we will provide you with our justification as to why we need to continue using your data.

c. Anonymity and pseudonymity - Individuals who are based in Australia: You may opt to not have us collect and/or process your personal information, or choose to use a pseudonym. This may prevent us from offering you some or all of our Services and may result in termination of your access to some or all of the Services. You will be aware of this when: (a) Opt In: where relevant, you will have the right to choose to have information collected and/or receive information from us (for clarity, consent must involve an unambiguous positive action to opt in); or (b) Opt Out: where relevant, you will have the right to choose to exclude yourself from some or all collection of information and/or receiving information from us.

d. Withdraw consent to processing your personal information: Where we rely on your consent as the lawful basis for processing your personal information, you may withdraw your consent at any time by contacting us using the details at the end of this policy. If you would like to withdraw your consent to receiving any direct marketing to which you previously opted-in, you can also do so using our unsubscribe tool. If you withdraw your consent, our use of your personal information before you withdrew is still lawful.

e. Restrict processing of your personal information: You may ask us to restrict the processing of your personal information in the following situations:

i. where you believe it is unlawful for us to do so; or

ii. you have objected to its use and our investigation is pending or you require us to keep it in connection with legal proceedings.

In these situations, we may only process your personal information whilst its processing is restricted if we have your consent or are legally permitted to do so, for example for storage purposes, to protect the rights of another individual or company or in connection with legal proceedings.

f. Erase your personal information: In certain circumstances, you may ask for your personal information to be removed from our systems by emailing or writing to us at Privacy@boardoutlook.com. Unless there is a reason that the law allows us to use your personal information for longer, we will make reasonable efforts to comply with your request. Please note, this may impact your ability to use our Services.

g. Access your personal information and how we process it: You have the right to ask for a copy of the information that we hold about you by emailing or writing to us at Privacy@boardoutlook.com. We may not provide you with a copy of your personal information if this concerns other individuals or we have another lawful reason to withhold that information.

h. Electronically move, copy or destroy your personal information in a standard, machine-readable form: Where we rely on your consent as the lawful basis for processing your personal information or need to process it in connection with a contract in place directly with you, you may ask us to provide you with a copy of that information in a structured data file. We will provide this to you electronically in a structured, commonly used and machine-readable form, such as a CSV file. You can ask us to send your personal information directly to another service provider, and we will do so if this is technically possible. We may not provide you with a copy of your personal information if this concerns other individuals or we have another lawful reason to withhold that information.

i. Automated decision making, including profiling: you may also contest a decision made about you based purely on automated processing by contacting us at Privacy@boardoutlook.com. We do not currently process your personal information to make such decisions about you and will update this policy/notify you if that changes.

14. CHANGES TO THIS POLICY

We may review this policy from time to time and any changes will be notified to you by posting an updated version on our Site and/or by contacting you by email. Any changes will take effect 7 days after the date of our email or the date on which we post the modified terms on our Site, whichever is the earlier. We recommend you regularly check for changes and review this policy whenever you visit our Site. If you do not agree with any aspect of the updated policy, you must immediately notify us and cease using our Services.

15. COMPLAINTS

If you have any concerns or complaints about the way we have collected or processed your personal information, please contact us at privacy@boardoutlook.com. We will investigate your complaint and respond to you in writing within 30 days.

You have the right to discuss your concerns or lodge a complaint to the relevant data protection authority if you are concerned about the way we have processed your personal information, which in the UK is the Information Commissioner’s Office (www.ico.org.uk) and in Australia is the Australian Information Commissioner (www.oaic.gov.au).
